Wholesale Terms & Conditions – Sun Protection Apparel Pty Ltd (trading as Solbari) 

These Terms and Conditions ("Terms") govern the wholesale purchase of products (“Products”) from Sun Protection Apparel Pty Ltd, ABN 98 163 273 952, trading as Solbari (“Solbari,” “we,” “our,” or “us”). By placing a wholesale order with Solbari, you agree to be bound by these Terms.   
 
1. Eligibility & Account Setup  
1.1 Wholesale pricing is available only to registered businesses. New Customers must complete Solbari’s wholesale application form and provide accurate and complete business details, including contact information and shipping address.   
1.2 Solbari reserves the right to accept or reject any wholesale application or order at its sole discretion.   
 
2. Orders & Pricing  
2.1 A minimum order value of AUD $500 applies to all wholesale purchases.   
2.2 Orders over AUD $500 will incur a shipping fee, calculated and added to the invoice.   
2.3 All orders must be paid in full in accordance with the final invoice before dispatch  
2.4 Orders may only be cancelled with Solbari’s prior written consent.   
2.5 Wholesale pricing may be updated by Solbari with reasonable notice, unless already invoiced.   
2.6 A binding contract is formed once Solbari accepts the order in writing, issues an invoice, or dispatches the goods.   
2.7 Solbari may recommend retail pricing. Customers are free to set their own resale prices, but must not engage in loss-leader pricing (selling below cost).   
2.8 Solbari is not required to honor discounts offered to retail consumers.   
 
3. Payment Terms  
3.1 Payment must be made in full at the time of order unless otherwise agreed in writing.   
3.2 Accepted payment methods include bank transfer and credit card. Solbari reserves the right to charge a reasonable processing fee for credit card payments with prior notice.   
3.3 All payments must be made free of deductions, set-offs, or withholdings.   
 
4. Shipping & Delivery 
4.1 Shipping costs are calculated based on order size and destination.   
4.2 Orders are typically dispatched within 3 business days of cleared payment.   
4.3 Delivery times are approximate and non-binding. Solbari is not liable for delays caused by carriers, customs, or other external factors. Time is not of the essence  
4.4 Risk in the goods passes to the Customer upon dispatch from Solbari’s warehouse.   
4.5 Customers are responsible for all freight, delivery, transport charges, and sales taxes.   
4.6 The Customer must inspect all goods upon delivery and notify Solbari in writing of shortages, damages, or defects within 5 business days of receipt. Otherwise, goods will be deemed accepted.   
 
5. Returns & Refunds  
5.1 Wholesale orders are final and cannot be returned due to change of mind or unsold stock.   
5.2 Returns are only accepted for goods that are damaged, defective, or incorrect upon receipt.   
5.3 Customers must notify Solbari of any issues within 5 business days of delivery.   
5.4 Solbari will assess valid claims and may offer replacements, refunds, or credits at its discretion.   
5.5 Approved returns may be subject to a reasonable restocking or handling fee. Refunds will be processed to the original payment method.   
 
6. Product Availability & Modifications  
6.1 All Products are subject to availability.   
6.2 Solbari reserves the right to discontinue or modify Products without prior notice.   
 
7. Intellectual Property & Brand Use  
7.1 All trademarks, logos, branding, product designs, images, and other intellectual property (“Solbari IP”) remain the sole property of Solbari  
7.2 Customers may not copy, reverse engineer, reproduce, or misuse Solbari IP.   
 
8. Resale & Distribution Restrictions  
8.1 Customers may not resell Solbari Products on online marketplaces (including Amazon, eBay, Alibaba, or similar platforms. 
8.2 Customers do not hold distribution rights beyond approved wholesale purchases.   
8.3 Misrepresentation of Solbari’s brand or misleading conduct may result in order cancellation or refusal of future orders.   
 
9. Limitation of Liability  
9.1 To the fullest extent permitted by law, Solbari excludes all implied warranties not expressly stated in these Terms.   
9.2 Where liability cannot be excluded, Solbari’s liability is limited, at its option, to:   
- Replacement of goods or supply of equivalent goods;   
- Repair of goods; or   
- Refund of the purchase price.   
9.3 Neither party is liable for any indirect or consequential losses, including lost profits, business interruption, reputational damage, or third-party claims.   
 
10. Misconduct  
Solbari reserves the right to refuse or cancel orders if the Customer breaches these Terms, misuses Solbari’s brand, or engages in misleading, deceptive, or unethical conduct.   
 
11. Miscellaneous  
11.1 Solbari may update these Terms by providing notice or publishing revised Terms on its website. Updates take effect upon notice or publication.   
11.2 Any amounts owed by the Customer may be set off against amounts owed by Solbari  
11.3 The Customer may not assign rights under these Terms without Solbari’s prior written consent. Solbari may assign its rights and obligations to affiliates or successors with notice.   
11.4 These Terms are governed by the laws of the State of Victoria, Australia, without regard to conflict of law principles.     
 
12. Agreement  
By placing a wholesale order, the Customer confirms that it has read, understood, and agreed to these Terms.
